At 12: 45PM September17, 2000, the Board adjourned to Executive Session

During the Executive Session three members of the Board, Treasurer, Kay Rosenberger ,Jocelyn Barker and Secretary, Georgette Schaefer, read prepared letters of resignation from the Board. President, Bert Hickman, offered to have their Resignation letters entered into the general minutes of the meeting; all agreed. Being no objection from the Board the Resignation letters were entered into the minutes

After the Executive Session the meeting was called back to order by the President.

Susan Lauer was asked if she would be willing to serve as CSPCA Secretary and stated that she would. The motion was made and passed.

John Hurley made a motion to reconsider the motion to appoint a recording secretary and a Corresponding secretary. The motion passed

A motion was made by John Hurley to rescind the motion to appoint a recording secretary and a Corresponding secretary. The motion passed.

Karen Kleinhans was asked if she would be willing to serve as Director at large and stated that she would. The motion was made and passed.

A motion was made to adjourn the meeting and was passed

Letters of Resignation

To the Members of the Chinese Shar-Pei Club of America (9/17/00)

The CSPCA has a mission to promote the Chinese Shar-Pei through a number of activities. The club has chosen to address this charge through election of directors to represent the members and work in cooperation with Club officers This relationship between the members and their directors is the foundation of the Club and is in effect, a contract.

I have become increasingly ineffective in this position. I am unable to fulfill my part of the election contract. Therefore, please accept this as my letter of resignation.

I have enjoyed the opportunity to work with the CSPCA and look forward to continuing my association with you in a new light.

Dear CSPCA Members (9/17/00),

I came here with great intenttions. I was hoping that this Board would be encouraged to start afresh and work together In my opinion, these board meetings seem to cover many issues, but in most cases, table the issues till the next meeting. Our agenda is always growing. With this in mind, my position as Secretary seems to take on new responsibilities all the time. To divide the responsibilities would help, but I feel would not solve the ever increasing workload

I want to thank the membership for supporting me during my tenure on the CSPCA Board. I have enjoyed working on the Board with all members, but especially working with new pet owners of our beloved breed.

To Board of Directors and Membership of the Chinese Shar-Pei Club of America, Inc (9/15/00)

As a member of the Chinese Shar-Pei Club of America, I have the following concerns about our Club:

· I am concerned about the manner in which vacancies on the Board are filled.

· I am concerned about the inattentiveness towards established processes and precedence

· I am concerned about the asymmetrical flow of information within the Board and the constricted flow of information to the membership

· I am concerned that expenses will continue to increase without a corresponding increase in benefit to the membership as a whole

· I am concerned that the Bylaws are not supported—specific to the Treasurer’s responsibilities stated in the Bylaws and the creation of the Assistant Treasurer position Rolls, responsibilities and processes have not been established to support this position to work in accordance with the Bylaws Several attempts have been made to establish processes and consistent communication. I made a request to have the treasury returned to me until the end of my term as an attempt to follow the Bylaws. This request was denied.

· I am concerned that the membership’s representation on the Board will be changing from the established precedence without consulting the membership and AKC to address the at-large directorships and the wording of the Bylaws.

I am very proud of the contributions I have been able to make to this Club as the Treasurer However, the turmoil I have experienced serving on this Board over the last eight months is no longer endurable. It truly saddens me to see my term as Treasurer for the Chinese Shar-Pei Club of America end in such a manner Effectively immediately, I resign my position as Treasurer.

When I joined the CSPCA Board, I did so because of my passion for the Chinese Shar-Pei. I feel that during my tenure on the Board I have made a constructive contribution to the breed, and to the Chinese Shar-Pei Club of America in general. It is my personal feeling that in order to continue to be constructive, one must feel that their priorities are consistent with the rest of the board, and the board leadership. If this consistency is not there, then one is not only impeding the ability of their own constructive productivity, but that also of the Board.

As you all know, my top priority for this breed is very direct—it is the well-being and provision for those in our breed who are less fortunate through no fault of their own. The well-being of those less fortunate animals who would not otherwise have a chance if not for a few select individuals that understand the necessity for rescue It is this activity where I feel I can continue to be most productive. Further, in the recent past, I am concerned that I have spent time unconstructively getting into disagreements, clarifying my position and being questioned about my suggestions and views. This is time that I could have spent constructively in the activity where my passion really lies.

It is with great sadness that I feel I must resign my position as Central Director of the Chinese Shar-Pei Club of America. I am grateful for the time that I was able to represent the membership on the board and very much appreciate all of the members’ support in these past two elections. I intend to continue to serve the breed and the club as its Chair of the Rescue Organization and would also love to continue to represent the Chinese Shar-Pei Club of America as the ADOA delegate.

Given the recent election results, it seems only fair that Alan Kiessig be given the opportunity to replace me as Central Director
